Terms and Conditions
1. Agreement
These terms and conditions (Terms) are between Auralis Retreats Pty Ltd (ACN 682 748 830) (we, us or our) and you, the person booking or receiving the Services (you or your).
2. Acceptance
You accept these Terms by making a booking or payment with us.
3. Services
We agree to provide the Services to you on these terms and conditions. We host luxury, exclusive, small-size retreats.
4. Goods
Upon your arrival to the retreat, you may receive some samples and gifts, such as herbal creams, teas and information packs. You acknowledge and agree that these goods are provided by third parties and we are not liable for the quality, performance or information in these goods.
5. Bookings
You may book Services through our website, in person, or by contacting us. Your booking is confirmed once we receive payment. We reserve the right to decline any booking at our discretion.
6. Cancellations and Rescheduling
You may request to cancel or reschedule a booking by contacting us. For cancellations or rescheduling:
(a) with more than 45 days’ notice: where possible, we will transfer your booking to another available time or provide you with refund of the 50% of the Price; or
(b) with less than 45 days’ notice (or where you do not attend the retreat): your booking will be forfeited with no refund.
Where a cancellation has been initiated by us, regardless of the amount of notice prior to the retreat, you will be entitled to a full refund of the Price paid.
7. Your Obligations
You agree that:
(a) you will comply with our reasonable requests and requirements;
(b) you will provide accurate information to us;
(c) you will not attend if you are suffering from any illness that could risk others’ health or safety;
(d) you will inform us of any physical or medical conditions that may affect your participation;
(e) you will not use any abusive or threatening language or behave in a threatening, or violent manner;
(f) you will not, at any time during the Services, be under the influence of illegal drugs or alcohol;
(g) you will not smoke any cigarettes or electronic cigarettes throughout the retreat; and
(h) you will treat our premises, personnel and equipment with respect.
You acknowledge and agree that if you do not comply with your obligations as set out above or as instructed by us or any staff or personnel of the retreat, you may be asked to exit the premises and forfeit the remainder of your time at the retreat.
8. Mobile Phones
Mobile phones are not to be used within public areas, and we will inform you of where usage is not permitted. To preserve the retreat space, phones must be always on silent.
9. Parking
Please park cars in allocated parking spots. Parking on the grass or anywhere outside of the allocated parking may incur a fine.
10. Payment
The Prices will be set out on our online booking page or in person when you book, including any relevant payment methods (such as Afterpay). Payment must be made in full at time of booking. If you choose to pay the Price using a third-party payment processor, you may need to accept their terms and conditions (if this is the case, these will be set out on our Platform). You must not pay, or attempt to pay, the Price by fraudulent or unlawful means. If you make payment by debit or credit card, you must be the authorised card holder. If payment is made by direct debit, by providing your bank account details and accepting these Terms, you confirm that you are either the holder or an authorised signatory of that bank account.
11. Late Payments
If you don’t pay on time as agreed, we can choose to cancel your attendance to the retreat 5 business days after the payment was due. We can also ask you to pay for any extra costs we face because you didn’t pay on time. This includes any costs to get those payments from you.
12. Intellectual Property
Each party will maintain ownership of any intellectual property they independently create during the duration of this Agreement. There will be no transfer of intellectual property rights between the parties, except as explicitly outlined in this Agreement.
13. Media Release
You acknowledge that there will be photographers and videographers during activities and programs at the retreat. These personnel will be instructed to be discrete and not distract you from your experience of the Services. By accepting these Terms, you consent to us, through these personnel, taking photographs, videos and other audio/video recordings of you and using, storing, editing, altering, distorting, copying, publishing and otherwise dealing with this content in any medium, in whole or in part, including in print or digitally and on the Internet for marketing and advertising (including through print, online, our website, social media and television), for internal training purposes and for educational resources (including printed and online leaflets, brochures, posters, publications, blogs, videos, articles, case studies and social media posts). If you do not consent to us taking such photographs, videos or other audio/video recordings or you do not consent to a specific purpose outlined in these Terms, you must let us know prior to your participation in the Services. You are permitted to take photos on your personal devices, but you must not use take photos or videos of other members, guests or personnel without their consent. You must not use content taken on your personal device to promote your personal brand or for any other commercial purpose.
14. Termination for Breach
This Agreement can be terminated by either party (the Non-Defaulting Party) with immediate effect if the other party (the Defaulting Party) fails to fulfill a significant obligation under this Agreement. If the Defaulting Party does not correct the breach within 10 business days after receiving written notice from the Non-Defaulting Party, the Non-Defaulting Party has the right to terminate the Agreement immediately.
15. Suspension
We may suspend the provision of Services to you if:
(a) we reasonably suspect you are in breach of these Terms; and
(b) while we investigate the suspected breach.
If, following our investigation, we reasonably believe you are in breach of these Terms, we may terminate these Terms immediately by written notice to you.
16. Liability
We will perform the Services with reasonable care and skill. However, we are not liable for any indirect or consequential losses that may arise. Subject to your consumer law rights, our total liability under this Agreement and conditions is limited to the Price paid by you.
17. Insurance
If you are travelling from overseas, we ask that you have travel insurance. To the maximum extent permitted by law, we do not take any responsibility for changes in travel plans, change of mind, or transport changes.
18. Applicability and Outcomes
You acknowledge that the Services provided are experiential in nature and that individual outcomes may vary. We do not guarantee specific results or benefits from participating in our retreats. The value you derive from the retreat is largely dependent on your willingness to engage and participate. We provide the environment and activities, but you determine how much you want to get out of the experience.
19. Mental Health Considerations
If you have any pre-existing mental health conditions or concerns, you should consult with a healthcare professional before participating in our Services. Our Services are not a substitute for professional medical advice, diagnosis, or treatment. You understand that participating in our retreats may interact with your mental health in ways that we cannot predict or control.
20. Food and Dietary Considerations
You acknowledge that meals are provided by our accommodation provider, not directly by us. While we strive to offer a range of nutritious options, we cannot guarantee that all dietary preferences or requirements will be met. You understand that your body may respond differently to the food provided than you are accustomed to. This may be due to changes in your routine, new ingredients, or the retreat environment. You agree to inform us of any specific dietary needs or allergies at least 14 days prior to the Services commencing. While we will do our best to accommodate these needs, we cannot guarantee that all requests can be met.
21. Accommodation Considerations
We will make reasonable efforts to accommodate your specific needs regarding food, bedding, and other amenities. However, due to the nature of our retreats and our remote location, we cannot guarantee that all requests can be fulfilled. You acknowledge that some adaptations may be necessary on your part to fully participate in the retreat experience. You acknowledge that our retreat offers different room types, such as loft rooms for example. These room types may vary slightly in size (by approximately 5 square meters) and layout. Loft rooms may require climbing stairs or a ladder to access sleeping areas, while garden suites are on one level. You agree that room assignments are based on availability and that you will not be entitled to a refund or compensation if you receive a room type different from your preference, provided it is of equivalent or greater value. You acknowledge that room sizes and layouts are inherent to the property and that minor variations between rooms do not constitute a breach of our obligations under these Terms.
22. Relaxation Zones
On the premises of the retreat, sauna, spa, and relaxation zone areas are available for male and female use and as such minimum standards of dress apply.
23. Wet Areas
Where the retreat space includes wet areas, such as a pool, normal pool safety rules apply for the safety and convenience of all users. Pool areas are not supervised, and you use them at your own risk. You must follow all signs and never run, dive, or jump. For your own safety, the pool/spa and relaxation zones cannot be accessed during unstaffed hours.
24. Suitable Clothes
You must wear suitable clothes and enclosed sports shoes in any exercise areas, except for wet areas.
25. Towels
You are required to use a clean towel when participating in classes and when exercising on gym equipment (including exercise mats) to maintain our hygiene and safety standards. You may be requested to cease training if you do not use a towel.
26. Equipment
As a courtesy to other attendees of the retreat, please use a clean towel when using any equipment. You are required to return equipment to their original state when you have finished, including returning weights and bars to their rack, unloading plates from machines and bars and returning equipment to its storage location.
For the safety of you and others, please follow all equipment operating and safety instructions on the equipment. If you are not sure of correct use or operation of equipment, please seek assistance from a team member.
27. Recreational Activities
In the course of exercising or engaging in any recreational activities while participating in the Services, if you are killed or injured, we will not be liable except to the extent caused by our reckless conduct. A person’s conduct is reckless if the person is aware, or should have reasonably been so, that there was a significant risk that their conduct could result in personal injury and, despite this, engages in the conduct without adequate justification.
Under the Australian Consumer Law (as set out in Schedule 2 of the Competition and Consumer Act 2010 (Cth)), statutory guarantees apply to the supply of certain goods and services. These guarantees mean that we are required to ensure that the recreational services we supply to you:
(a) are rendered with due care and skill; and
(b) are reasonably fit for any purpose which you, either expressly or by implication, make known to us; and
(c) might reasonably be expected to achieve any result you have made known to us.
Under the Australian Consumer Law, we are entitled to ask you to agree that these statutory guarantees do not apply to you. If you accept these Terms, you will be agreeing that your rights to sue us under the Australian Consumer Law if you are killed or injured because the Services provided were not in accordance with these guarantees, are excluded in the way set out in these Terms.
28. Confidentiality
Both parties commit to maintaining the confidentiality of any proprietary or confidential information shared while these Terms are in place.
29. Subcontracting
We reserve the right to subcontract any portion of the Services at our discretion without needing to get your written approval beforehand. We commit to being fully responsible for fulfilling our obligations under this Agreement, and we will ensure that any subcontractors we employ will adhere to the terms of this Agreement as if we were performing the Services directly.
30. Relationship of Parties
This Agreement is not intended to create a partnership, joint venture, employment or agency relationship between the parties.
31. Governing Law
This Agreement is governed by the laws of New South Wales.
32. Dispute Resolution
In the event of a dispute, the parties will first attempt to resolve the matter through mutual discussion or mediation.
33. Amendments
We may amend these Terms at any time.
34. Definitions
The Services and the Price will be as set out on our website, in our online booking form or in person when you book.
